This whitepaper draws on James Madison’s theory of factions in Federalist #10 to propose a federated layer of governance that protects CBAs from internal corruption or capture. Just as Madison envisioned a large republic to dilute the influence of dominant factions, this paper introduces the Constitutional Enterprise Association (CEA)—a self-regulating federation of CBAs. Through a circular system of authority—where CBAs elect the CEA board, and the CEA board selects each CBA board—this “Double Ouroboros” model creates checks on the checkers. It serves as a final safeguard, preventing abuse not just within CBAs, but between them.
